Welcome to DelaySentry, a service provided and operated by SYCALYX LLC (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of DelaySentry, including any website, software, APIs, and any other products or services offered under the DelaySentry brand (collectively, the “Services”). By creating an account or otherwise using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, do not use the Services.

1. Description of the Service

• DelaySentry is a shipment tracking and delay notification service owned and operated by SYCALYX LLC. The Service integrates with third-party carriers (such as USPS, UPS, FedEx, DHL, etc.) and APIs (including payment processors, proxy services, analytics, and email providers).
• SYCALYX LLC provides shipment status updates, analytics, and notifications. We do not ship packages and are not responsible for the actions, omissions, or data accuracy of any shipping carrier or third-party provider.

2. Eligibility

• You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and use the Services.
• By using the Services, you represent and warrant that you have the legal capacity to enter into these Terms and comply with all applicable laws and regulations.

3. Account Registration and Security

• Account Creation: You must provide accurate and complete information to register for an account. Keep your account details up to date.
• Security: You are responsible for maintaining the confidentiality of your credentials (e.g., password, API keys) and for any actions taken under your account. Immediately notify us of any suspected unauthorized use of your account.
• Liability: SYCALYX LLC is not liable for any losses arising from unauthorized account access due to your failure to safeguard your login credentials.

4. Subscription Plans and Usage

• Free and Paid Plans: We may offer various subscription tiers (Free, Pro, Premium, etc.), each with different monthly shipment or notification limits.
• Monthly Usage: If you exceed the usage limits of your subscription plan, SYCALYX LLC may restrict Services or charge additional fees.
• Payment: If you sign up for a paid plan, you authorize our third-party payment processor (e.g., Stripe) to charge your payment method. Plans renew automatically unless canceled.
• Downgrades and Refunds: Downgrading from a paid plan to a free plan may lead to the loss of certain features. SYCALYX LLC may provide refunds or credits at its sole discretion.

5. Usage Restrictions

• Prohibited Conduct: You agree not to:
  • Use the Services for illegal purposes or to violate any law or regulation.
  • Interfere with or disrupt the Services, circumvent usage or security limits, or engage in unauthorized data collection.
  • Reverse engineer or decompile any portion of the Service.
  • Track shipments you do not own or have rights to access.
• Accuracy: Shipping data is obtained from third-party APIs. SYCALYX LLC does not guarantee its accuracy, completeness, or timeliness.
• Fair Use: We reserve the right to throttle or limit API requests or notifications if we deem your usage excessive or abusive.

6. Third-Party Integrations

• Carriers and APIs: We integrate with carriers and external APIs (UPS, FedEx, USPS, Twilio, Stripe, etc.). Your interactions with these third-party services are subject to their terms of service and privacy policies.
• No Affiliation: SYCALYX LLC is not affiliated with these third parties and assumes no responsibility for their data accuracy or practices.

7. Intellectual Property

• Ownership: All intellectual property rights in the DelaySentry brand and Services belong to SYCALYX LLC and its licensors.
• License: SYCALYX LLC grants you a limited, non-exclusive, non-transferable, revocable license to use the DelaySentry Services in accordance with these Terms.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using DelaySentry, you consent to the practices described in the Privacy Policy.

9. Disclaimers

• “AS IS”: The Services are provided on an “AS IS” and “AS AVAILABLE” basis. SYCALYX LLC disclaims any warranties, express or implied.
• Shipping Data: SYCALYX LLC does not guarantee the accuracy of carrier data, estimated delivery times, or shipping statuses and is not liable for any reliance on such information.

10. Limitation of Liability

• No Indirect Damages: SYCALYX LLC, including its employees and agents, shall not be liable for indirect, special, consequential, or punitive damages, including lost profits or data, arising from or relating to the Services.
• Liability Cap: The total liability of SYCALYX LLC for any claim shall not exceed the amount you paid, if any, in the twelve (12) months preceding the event.

11. Indemnification

You agree to indemnify and hold SYCALYX LLC harmless from any claims, liabilities, damages, or expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any rights of third parties.

12. Suspension and Termination

• Suspension: SYCALYX LLC may suspend your account if it believes you are violating these Terms or applicable laws.
• Termination: Your account may be terminated for violating these Terms. You may also terminate at any time without notice.

13. Modifications and Updates

SYCALYX LLC may update these Terms or the Services at any time. We will provide notice of significant changes (e.g., by posting on our website). Continued use after the changes become effective indicates your acceptance.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which SYCALYX LLC is registered, without regard to conflict-of-law principles. Any dispute shall be settled in the courts of that jurisdiction unless both parties agree otherwise.
